Engagement and service terms.

The high-level commercial and legal framework for working with Alkhai. Each engagement is governed by a separate Statement of Work, which controls in case of conflict.

1. Acceptance of terms

By engaging Alkhai or accessing our materials, you agree to these Terms. If you do not agree, please do not use our services.

2. Engagement scope

Each engagement is governed by a separate Statement of Work (SOW) executed by both parties. The SOW controls deliverables, timelines, fees, and any client-specific terms. These Terms apply except where the SOW expressly modifies them.

3. Confidentiality

We treat all client information as confidential by default. Mutual non-disclosure agreements (NDAs) are signed before scoping discussions, and Data Processing Agreements (DPAs) are signed before any data is transferred or accessed.

4. Data use

Client data is used solely for the purposes set out in the engagement SOW and DPA. Sensitive client data is not processed through external AI models. All processing occurs in controlled, governed environments. See our Trust & Security and Privacy pages for details.

5. Intellectual property

Pre-existing intellectual property, frameworks, and methodologies remain the property of the originating party. Engagement deliverables specifically commissioned and paid for by the client become the client's property, subject to a non-exclusive licence back to Alkhai for internal benchmarking and improvement of methodology only, never including identifiable client data.

6. Fees and payment

Fees are set out in each SOW. Outcome-tied fee structures are available for engagements that meet specific scoping criteria. Invoices are issued per the SOW schedule.

7. Warranties and disclaimers

Alkhai performs services in a professional and workmanlike manner. Findings are based on the data made available to us. We do not warrant outcomes outside what is expressly stated in the SOW. Industry benchmarks and external comparisons are illustrative only.

8. Limitation of liability

To the extent permitted by law, Alkhai's aggregate liability for any claim arising from an engagement is limited to the fees paid for that engagement in the twelve months preceding the claim. Neither party is liable for indirect, consequential, or special damages.

9. Subprocessors

Where Alkhai uses subprocessors (e.g., cloud-hosting providers), they are listed in the engagement DPA and reviewed against the same security and privacy standards Alkhai applies internally.

10. Term and termination

Engagements may be terminated under the conditions set out in the SOW. On termination, client data is returned or destroyed per the DPA, with a written attestation provided on request.

11. Governing law

These Terms are governed by the laws specified in the engagement SOW. In the absence of an SOW, the laws of the jurisdiction in which Alkhai is incorporated apply.

12. Updates

These Terms may be updated from time to time. The version in effect on the date of an SOW is the controlling version for that engagement.
